Terms of Service
Last updated: 21 September 2026. Effective for every store using AlexZaxa Solutions PDA ("the Software", "the Service") from that date.
This draft was prepared with AI assistance to give you a strong starting point — it is not legal advice, and it has not been reviewed by a lawyer.
Before you rely on it with real customers, have it reviewed by a lawyer qualified in Greek and EU law, particularly for the GDPR data-processing section (§8), the tax/receipts disclaimer (§7), and the governing-language question (§16) — bracketed placeholders like [your registered business name] need your real details filled in before this is a valid contract.
1. Who this agreement is with
These Terms of Service ("Terms") are a contract between [your registered business name, legal form, registration/GEMI number, tax ID (ΑΦΜ), and registered address] ("AlexZaxa Solutions", "we", "us") and the restaurant or business that registers to use AlexZaxa Solutions PDA ("Customer", "you", "the store"). By installing, accessing, or using the Software, or by clicking to accept these Terms, you agree to be bound by them. If you don't agree, don't use the Service.
If you're accepting these Terms on behalf of a company, you confirm you have authority to bind that company.
2. What the Service is
AlexZaxa Solutions PDA is restaurant ordering and point-of-sale software that runs primarily on the store's own local network (waiter tablets, a floor plan, phone/delivery orders, kitchen printing) so that core floor operations keep working without an internet connection. Certain features are cloud-connected and require internet access, including but not limited to: software update checks and delivery, the manager revenue dashboard, remote support, and the account/reporting features described in §4. The Service is provided under a subscription or licence as selected at signup and described on our pricing page.
3. Accounts and access
You're responsible for the accuracy of the information you give us when we set up your store, for keeping your login credentials confidential, and for all activity that happens under your store's accounts — including accounts you create for your own staff. Tell us promptly if you suspect unauthorised access to your account.
We may suspend or restrict access to an account we reasonably believe is being used fraudulently, abusively, or in breach of these Terms.
4. Our access to your store's data
You should read this section carefully, and make sure everyone at your business who cares about this understands it.
Unlike a purely offline till, AlexZaxa Solutions PDA syncs certain operational data from your store to our systems so we can provide the cloud-connected features described in §2 — this includes order and sales records, daily and weekly revenue totals, store configuration, and support requests you or your staff submit.
Because we operate the platform, AlexZaxa Solutions' own administrators can see this synced data — including your store's revenue and sales figures — in the same way, and through the same admin tools, that we use to run the platform for every store on it. This access is not limited to what you, the store owner, have chosen to share with us for a specific support request: it exists structurally, as part of how the Service is built and operated, for as long as your store uses the Service. We do not sell this data, and we do not share one store's data with another store or with unrelated third parties, but our own personnel with a legitimate operational need (billing, support, fraud prevention, service reliability, and improving the Service) can access it. Access inside our organisation is limited to people who need it for those purposes.
If this level of access is not acceptable to you, your only remedy is to stop using the cloud-connected features and/or the Service — we cannot offer a version of the cloud-connected features that hides this data from us, since we host and operate the system those features run on.
We keep your data confidential and will not disclose it to third parties except: (a) to subprocessors who help us run the Service under confidentiality obligations at least as strict as this section, (b) where required by law, court order, or a competent public authority, or (c) with your consent.
5. Fees and payment
Fees are those shown on our pricing page at the time you sign up, or as otherwise agreed with you in writing. We may change our published pricing for new signups or future billing periods at any time; where we change the price of a plan you're already subscribed to, we'll give you at least 30 days' notice before it takes effect, and you may cancel before it does.
Unless stated otherwise in your specific agreement with us: one-time software fees are due before installation; recurring support/subscription fees are billed in advance and are non-refundable except where required by law; late payment may result in suspension of cloud-connected features (§2) until the account is brought current. Local, on-premise ordering functionality that does not require our servers is not remotely disabled for non-payment.
6. Licence to use the Software
We grant you a limited, non-exclusive, non-transferable licence to install and use the Software on hardware you own or control, solely for operating your own restaurant business, for as long as your subscription/licence is active and you comply with these Terms. You may not: resell, sublicense, or provide the Software to third parties as a hosted or managed service; reverse-engineer, decompile, or attempt to extract the source code except where a mandatory law gives you that right; remove or alter any proprietary notices; or use the Software to build a competing product.
All intellectual property rights in the Software, our brand, and our documentation remain ours (or our licensors'). You retain ownership of your own business data — your menu, orders, customer records, and revenue figures remain yours; §4 describes our access to it, not ownership of it.
7. Your responsibility for receipts, tax, and regulatory compliance
The Software can print receipts and kitchen dockets and can help you keep sales records, but it is a tool, not a guarantee of legal or tax compliance. You are solely responsible for configuring and using the Software in a way that meets your obligations under Greek and EU law, including electronic invoicing/receipt requirements (e.g. AADE/myDATA), VAT, food-service licensing, employment law for your staff's use of the system, and consumer-protection obligations to your own customers. We are not a tax advisor or accountant, and nothing in the Software or these Terms is tax, legal, or accounting advice.
8. Data protection (GDPR)
Two different data-protection roles apply here, and it matters which one is in play:
Your business data (§4). Store-level revenue and sales totals are your business's operational data. Where any of it identifies an individual (e.g. a named staff member's till activity), we act, in relation to that personal data, as described below.
Your customers' personal data. Where the Software collects personal data about your own customers on your behalf — for example names, phone numbers, or delivery addresses for delivery orders — you are the data controller and we are your data processor for that personal data, under Article 28 GDPR. That means: you must have your own lawful basis and privacy notice for collecting it from your customers; you instruct us on how it may be used (this Agreement is that instruction); and we will process it only to provide the Service, under appropriate technical and organisational security measures, and will assist you with data-subject requests we receive that relate to it.
This section is a summary, not a substitute for a full Data Processing Agreement. [We recommend a standalone DPA, incorporated by reference here, be put in place and reviewed by a lawyer — Article 28 GDPR requires specific mandatory contract terms that this summary does not attempt to fully restate.] A separate Privacy Policy describing what we collect, why, and your rights as a data subject is required alongside this document — [not yet published; draft and link one before relying on this section].
9. Service availability
Core floor-operation features (taking orders, the floor plan, kitchen printing) are designed to keep working on your local network without internet access. Cloud-connected features (§2) depend on internet connectivity and on our infrastructure and that of our own subproviders, and we do not guarantee they will be uninterrupted or error-free. We may perform maintenance, and we'll try to give notice of planned downtime where practical.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or that it will meet every requirement of your business.
11. Limitation of liability
To the maximum extent permitted by law: neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost revenue, arising from or related to these Terms or the Service, even if advised of the possibility. Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the fees you paid us in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded under Greek or EU law, including liability for death or personal injury caused by negligence, fraud, or gross negligence.
12. Indemnification
You agree to indemnify and hold us harmless from third-party claims, losses, and expenses (including reasonable legal fees) arising from: your use of the Service in violation of these Terms or applicable law; your failure to meet your obligations under §7 or §8; or content or data you submit through the Service.
13. Term, suspension, and termination
These Terms apply for as long as you use the Service. Either party may terminate a subscription in line with the notice terms of the specific plan you're on. We may suspend or terminate access immediately for material breach of these Terms, non-payment after notice, or use that creates legal or security risk for us or other stores. On termination, our access described in §4 ends going forward, and we will retain or delete your data in line with our data-retention practices and applicable law; a specific retention/export period can be agreed with us on request.
14. Changes to these Terms
We may update these Terms from time to time. We'll post the updated version at this URL with a new "Last updated" date, and for material changes we'll make reasonable efforts to notify active customers (e.g. by email) at least 15 days before the changes take effect. Continued use of the Service after that date means you accept the updated Terms.

16. Governing law and language
These Terms are governed by the laws of Greece, without regard to conflict-of-law principles, and subject to any mandatory consumer-protection or EU law that applies regardless of choice of law. The competent courts of [your city, e.g. Athens], Greece have exclusive jurisdiction over any dispute arising from these Terms, except where mandatory law gives you the right to bring a claim elsewhere.
[Decide, ideally with your lawyer, whether English or Greek is the governing text if you publish both — a bilingual contract with Greek small-business customers may need the Greek version to be the one that actually controls for it to be clearly enforceable and understood by the other party.]
17. Severability and entire agreement
If any provision of these Terms is found unenforceable, the rest remain in effect, and the unenforceable provision will be read to achieve its intent as closely as possible under applicable law. These Terms, together with your signup order and our Privacy Policy, are the entire agreement between us regarding the Service and supersede any prior agreements on the same subject.
